SEBI notified regarding the revision of Application Form for Mutual Fund Registration

Secretarial ComplianceThe Securities and Exchange Board of India (SEBI) on August 17, 2026, notified the revision of the Application Form for Mutual Fund Registration.

The following has been stated:

• SEBI has revised and consolidated the existing application forms for Mutual Fund registration into a single Form A, following the overhaul of the SEBI (Mutual Funds) Regulations, 2026 and SEBI (Intermediaries) Regulations. Earlier, the registration process involved Form A for in-principle approval and Forms C and D for final registration. The revised Form A now covers both Stage I – in-principle approval and Stage II – final registration of the AMC.

• The revised application requires extensive information regarding the sponsor’s constitution, shareholding and Ultimate Beneficial Owners (UBOs), capital structure, net worth, financial statements and eligibility route. Two eligibility routes are provided under Regulation 5(a), including requirements relating to financial-services experience, positive net worth, profitability and, under Route 2, an AMC net worth of at least ₹150 crore, experienced management personnel and a five-year lock-in for the relevant initial shareholding.

• The form also requires details of the sponsor’s business activities, regulated entities, management, associates/group companies, regulatory history, fit-and-proper status, customer grievance mechanisms, compliance systems, conflict-of-interest policy and insider/employee trading policy. Additional requirements apply where the sponsor is a Pooled Investment Vehicle or Private Equity fund, including prescribed experience and investment-related information.

• For final AMC registration, the revised Form A requires information on the AMC’s capital structure, shareholding, net worth, board and KMPs, internal controls, business plan, infrastructure, investor services, IT and cybersecurity framework, Business Continuity Plan (BCP), Disaster Recovery (DR), compliance process, conflict-of-interest and insider-trading policies.
